Independent Legal Expert (Non-Executive Director)

Purpose

To provide independent legal governance oversight, ensuring the Group's operations comply with national laws across Ethiopia, South Sudan, Kenya, and Uganda, and mitigating sovereign and commercial legal risks.

Key responsibilities

• Legal Governance: Oversee the Group Legal Advisor; review major joint ventures, PPPs, and multilateral donor contracts.
• Regulatory Risk: Monitor changes in EAC/IGAD trade, labor, and corporate laws; advise the Board on compliance impacts.
• Dispute Resolution: Guide the Board on high-level arbitration, sovereign disputes, or litigation strategies.

Qualifications

• LL.B./LL.M.; Licensed to practice in at least one EAC jurisdiction
• 15+ years in international corporate law, PPPs, and multilateral donor frameworks

• Zero material legal/regulatory exposure incidents
• Zero material legal breaches or governance failures
• Contract and JV/M&A review turnaround < 5 business days
• Favorable resolution rate of Tier-1 legal disputes
